1. Acceptance of Terms

By accessing and using the services provided by Dope Digital ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

Dope Digital provides web development, mobile application development, cloud solutions, UI/UX design, e-commerce development, and consulting services. We reserve the right to modify, suspend, or discontinue any part of our services at any time without prior notice.

3. Use of Services

3.1 Permitted Use

You may use our services only for lawful purposes and in accordance with these Terms of Service. You agree not to use our services:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
• To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity
• In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of our services

3.2 User Accounts

If you create an account with us, you are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

4. Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of Dope Digital and its licensors. The service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Any code, designs, or work products created by Dope Digital for clients will be subject to the terms specified in individual service agreements. Unless otherwise agreed in writing, clients will own the final deliverables, while Dope Digital retains rights to use general methodologies and techniques.

5. Payment Terms

Payment terms for our services will be specified in individual service agreements or proposals. Generally:

• Payment schedules will be agreed upon before work begins
• We may require a deposit or retainer before starting work
• Late payments may incur additional fees or result in suspension of services
• All prices are subject to change without notice, but agreed-upon prices in contracts will be honored
• Refunds will be handled on a case-by-case basis as specified in individual agreements

6. Project Deliverables and Revisions

The scope of work, deliverables, and number of revisions will be specified in individual project agreements. We will make reasonable efforts to meet agreed-upon deadlines, but we are not liable for delays caused by factors beyond our reasonable control.

Clients are responsible for providing timely feedback and necessary materials. Delays in client responses may affect project timelines.

7. Client Responsibilities

Clients are responsible for:

• Providing accurate and complete information necessary for project completion
• Obtaining necessary licenses, permissions, or approvals for content and materials provided
• Reviewing and approving deliverables in a timely manner
• Ensuring that any content provided does not infringe on third-party rights
• Maintaining backups of any data or content

8. Limitation of Liability

In no event shall Dope Digital, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless Dope Digital and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

10. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the service will cease immediately.

If you wish to terminate a project or service agreement, the terms for termination will be specified in your individual service agreement. Early termination may result in fees as outlined in your agreement.

11. Warranty Disclaimer

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied. We do not warrant that:

• Our services will be uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• Our services are free of viruses or other harmful components
• The results of using our services will meet your requirements

12. Governing Law

These Terms shall be interpreted and governed by the laws of the jurisdiction in which Dope Digital operates, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration in accordance with the rules of a recognized arbitration organization.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our services.
